When does the Business Organization Code apply to my business?
Entities formed on or after January 1, 2006.
The Code applies immediately to all Texas business entities formed on or after January 1, 2006, as well as all out-of-state entities required to register with the Secretary of State which had not done so by that date and certain other out-of-state entities.
Entities formed before January 1, 2006; option for early adoption.
For all other entities, both Texas and out-of-state, the mandatory application date is delayed until January 1, 2010. However, business entities formed before January 1, 2006, may elect to be governed by the BOC earlier by filing an early adoption statement with the Secretary of State.
