Texas Business Organization Code

What is the new Texas Business Organizations Code?

Prior to the adoption of the Business Organizations Code (”BOC”), each type of business entity was governed by a separate statute with its own unique terminology. The BOC combined these separate statutes (listed below) into one Act, eliminated obsolete and duplicative provisions, and adopted uniform terminology whenever possible.

  • Texas Revised Limited Partnership Act
  • Texas Limited Liability Company Act
  • Texas Uniform Unincorporated Non-Profit Association Act
